Who We Are

Medicalodges, Inc., is an employee-owned health care company with a 47-year history of providing quality care. We value the human dignity of our residents and base our care programs on that foundation. We also place a high priority on delivering superior services to our clients. We are especially proud of the personal interaction among our caregiving staff, our residents and our residents' families.

Medicalodges offers a variety of services to meet a wide spectrum of needs. To individuals needing residential care we offer a continuum of health care options from assisted living through specialized care, skilled nursing services and post-acute care. For those able to remain at home, Medicalodges stands by to help with outpatient therapy, in home services and adult day care.

Medicalodges has been a leader in the development of specialized treatment and care units for those diagnosed with Alzheimer's and related dementias. We also operate two general geriatric psychiatric unit, one residential facility for the developmentally disabled and one care center for the mentally handicapped.

Facilities

Medicalodges has 23 skilled nursing facilities (providing geriatric nursing), 12 assisted living centers, three residential care units, one residential care facility for the developmentally disabled, one skilled facility for the mentally handicapped, one geriatric psychiatry units and various specialized units within these facilities in addition to a range of outpatient and in-home services. The majority of the Company's nursing centers are in rural areas. However, there are two Medicalodges nursing facilities in Kansas City, Kansas and one in Wichita, Kansas.

While each facility is different in size, location and services, all are bound together by a common philosophy and a professional commitment to excellence. Each is designed for the comfort, safety and well-being of our residents. There are cozy lounges for visiting with family and friends and a choice of either private or shared units.

Medicalodges provides quality care and personalized service. From the moment you enter one of our facilities you will be impressed by its cleanliness and the warmth and friendliness of our staff. Our competent, dedicated nurses carefully monitor each resident's physical condition as well as his or her personal comfort. Nutritious, appetizing meals are prepared in our kitchens and served by attentive staffs.

At each Medicalodges facility you will find competent, compassionate, affordable care. We believe our staff makes the critical difference. Our employees understand the healing power of a smile and the importance of a kind word and a gentle touch. They have concern and respect for the dignity and individuality of each resident.

Quality Care

Medicalodges believes the quality of life our residents enjoy is as important to them as the quality of their care. Toward that end, we plan a variety of recreational programs and social opportunities to brighten each day; and our social service department stands ready to assist families with any paperwork or problems.

Medicalodges skilled nursing centers are all Medicare certified, and we have always been sensitive to the cost of care. We firmly control expenses without compromising our standards. Our care is affordable, and our price is competitive. To assure quality of care, Medicalodges continuously evaluates each facility. In addition to inspection by state and federal surveyors, our facilities are surveyed by our quality assurance staff. These evaluations and inspections include examination of the facility records (from financial to medical) and investigation of the extent to which the medical, social, physical, rehabilitative and dignity needs of our residents are being met.

General Privacy Statement

Medicalodges, Inc., and its Affiliates have a long-standing commitment to protecting the privacy of individually identifiable health information (IIHI) which is sometimes referred to as Protected Health Information (PHI). A part of this commitment involves compliance with the privacy standards contained in the regulations promulgated under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the first comprehensive federal protection of health information. This statement generally describes the requirements of the HIPAA privacy regulations. Medicalodges, Inc., and its Affiliates are referred to as a "Covered Entity" by these regulations and in this statement.

The HIPAA regulations govern the use and disclosure of PHI. In general, a covered entity may use PHI for purposes of treatment, payment and health care operations. It may disclose PHI (1) with the individual's authorization, (2) to another health care provider for treatment and payment purposes with the individual's authorization and (3) in certain other circumstances described by the regulations.

In using or disclosing PHI, a covered entity must restrict the use or disclosure to the minimum amount necessary to accomplish the purpose of the use or disclosure. Employees of a covered entity will be assigned classifications which will determine the employees' access to PHI in order to comply with the minimum necessary requirement.

The HIPAA regulations also give individuals several rights with respect to their PHI. In addition to the rights to have access and to receive confidential communications about PHI, the individual may copy and inspect PHI, restrict its use and disclosure, amend it and receive an accounting of disclosures made of their PHI.

There are many obligations imposed on a covered entity by the privacy regulations. These include developing and implementing policies and procedures to assure compliance, training members of its workforce in the HIPAA requirements appropriate to their jobs, documenting its efforts to achieve compliance, developing and implementing safeguards to protect PHI and designating a privacy official.

A privacy official is an individual designated by the covered entity who is responsible for the development and implementation of the required policies and procedures for compliance with HIPAA, including handling complaints and providing information about the entity's practices with respect to PHI.

The covered entity must state its practices with respect to the use and disclosure of PHI, the individual's rights and the covered entity's obligations in a "Notice of Privacy Practices." This notice must be given to individuals at the time the treatment relationship begins.

The effective date of the HIPAA privacy regulation is April 14, 2003.

The History of Medicalodges, Inc.

Medicalodges, Inc., has been a significant factor in the delivery of long-term care in the Midwest since 1961 when its first nursing center, Golden Age Lodge, was opened in Coffeyville, Kansas, by Mr. and Mrs. S. A. Hann.

The Company grew through the 1960's with the addition of eight facilities in Kansas, Oklahoma and Missouri. In 1969, Golden Age Lodges was renamed Medicalodges, Inc.

As new facilities were bought or purchased, a corporate office was established in Coffeyville, Kansas, to provide consultant and development services to existing facilities. Today the Central Office provides its facilities with continuing education training, marketing assistance, nursing management, computer installation, purchasing help, architectural planning, construction management, information systems help and financial oversight. In February 1998 the employees of Medicalodges acquired the Company from its previous owners in a 100% Employee Stock Ownership Trust transaction.

Medicalodges grew to more than 3,000 beds in over 30 centers by the late 1970's. In the 1980's concentration was on the delivery of quality care and specialized management. Currently, the company owns and/or manages 39 nursing facilities and assisted living centers in Kansas, Oklahoma, Missouri, and Arkansas and employs over 2,500 people in 30 communities.

Medicalodges, Inc., Management Team

Garen Cox, President, Chief Executive Officer and General Counsel.

Mr. Cox graduated from Kansas University, Lawrence, Kansas, in 1973 and from Washburn University Law School, Topeka, Kansas, in 1976. He has been active with the company since 1976. He was named to his current position in March 2003.

Mr. Cox presently serves on the Board of Directors for the Kansas Chamber of Commerce and the Kansas Health Care Association and in 2006 was awarded its Distinguished Service Award. He also serves on the American Health Care Association's Medial Liability Reform Committee and was spotlighted in the August 2007, Health Executive magazine.

In 1996 Mr. Cox was appointed by the governor of Kansas to serve on the Long Term Care Insurance Task Force. In 2005 he was appointed to serve on the Kansas Health Policy Authority which is developing a coordinated health policy agenda to improve the health of all Kansans and oversees statewide health policy programs.

Mr. Cox is a member of the American Bar Association, the Kansas Bar Association and the American Health Lawyers Association and is a graduate of Leadership Kansas 1992. He serves as a director of the company.

Clifford Fischer, Senior Vice President.

Mr. Fischer graduated from Kansas State Teachers College, Emporia, Kansas, in 1963 with a B.S. Degree in Business Administration. His major area of study was accounting with a minor in economics. He has been a health care administrator since 1965. He was President of Top Management Services, Inc., from 1976 to 1995. Mr. Fischer joined Medicalodges, Inc., on July 10, 1995, as Regional Manager and was named Senior Vice President of Health Care Services in November 1996. He was promoted to his present position in March 2003. Mr. Fischer serves as a director of the company.

Cathy Fisher, Vice President of Finance, CFO and Treasurer

Ms. Fisher graduated from Newman University, Wichita, KS, in 1977 with a Bachelor of Science Degree in Accounting and Business Administration. She was employed by Medicalodges in July 1977, as an Internal Auditor. In April 1980, she joined the Accounting Department developing the computerized Accounts Receivable Program, and in July 1983, was promoted to the Assistant Office Manager. In August 1987, she became the Reimbursement Manager, being responsible for the reimbursement programs in all states of operation. The position of Reimbursement Manager was combined with Office Manager in July 1999, with the duties to include the coordination of the Accounting and Reimbursement Departments. She was promoted to Vice President of Finance and Treasurer June 2000. Ms. Fisher is a member of the Governmental Affairs Committee and Reimbursement Sub-committee of Kansas Health Care Association.
